Terms of Service

These Terms govern your access to and use of AlphaProve, an online platform for building and simulating algorithmic trading strategies. Please read them carefully. By using the Service you agree to them.

Effective date: 2026-08-30. These Terms form a binding agreement between you and SC FAOXIM SRL (“AlphaProve”, “we”, “us”, or “our”), the operator of alphaprove.com.

1. Acceptance of these Terms

By creating an account, accessing, or using AlphaProve (the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms of Service and by our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to both you and that organisation.

If you do not agree with any part of these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use the Service. By using AlphaProve you represent and warrant that you meet this requirement and that you are not barred from using the Service under the laws of any applicable jurisdiction. The Service is not directed to, and may not be used by, persons under 18.

3. Accounts and security

To use most features you must register for an account using an email address and password, or by signing in with a supported identity provider such as Google. You agree to provide accurate information and to keep it up to date.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Do not share your account or credentials with anyone else. Notify us promptly at support@alphaprove.com if you suspect any unauthorised use of your account. We store passwords only in salted, hashed form and enforce strict per-tenant isolation, but we cannot secure an account whose credentials you have disclosed.

4. What the Service does

AlphaProve lets you write, or use AI to generate, algorithmic trading strategies (in Python, in a no-code JSON format, or from a library of built-in strategies) and backtest them against historical crypto perpetual-futures market data. It also provides forward-walk validation and Monte-Carlo risk simulation to help you understand how a strategy might behave. Paper trading runs a strategy forward on current market data using simulated money and simulated fills.

Backtests and paper runs are simulations, not trading.

Every result produced by AlphaProve is simulated. Backtests use historical data; paper trading observes current market data but uses hypothetical capital and modelled execution. The Service does not connect to your exchange account, does not place real orders, does not hold or custody assets, and does not execute trades on your behalf. Using paper trading creates no brokerage relationship or execution service.

Nothing on AlphaProve constitutes financial, investment, trading, tax, or legal advice, and we are not a broker, dealer, exchange, or investment adviser. You are solely responsible for any decision you make. Please read our Risk Disclosure before relying on any output.

We may add, change, or remove features at any time. Real-money trading, exchange-account connectivity, custody, and trade execution are not part of the Service; any description of those capabilities as future work creates no obligation or entitlement.

5. Subscriptions, AI credits, and billing

AlphaProve is offered across three tiers: Free, Trader, and Quant. Each tier includes a monthly allowance of AI generation credits used when you ask the platform to generate or refine a strategy:

  • Free: 20 AI generations per month.
  • Trader: 300 AI generations per month.
  • Quant: 1,500 AI generations per month.

Credit allowances reset monthly and do not roll over. We may adjust allowances or introduce usage limits to protect the stability and fair use of the Service.

Payment and renewal

Paid subscriptions (Trader and Quant) are billed in advance on a recurring monthly or annual basis, according to the billing period you select at purchase, through our payment processor, Stripe, and renew automatically at the end of each billing period until you cancel. By subscribing you authorise us and Stripe to charge your payment method on a recurring basis. We do not store your full card details. They are handled directly by Stripe. (Paid billing is being rolled out; where a tier is not yet chargeable, no payment is taken.)

Price changes

We may change subscription prices from time to time. We will give you reasonable advance notice of any price change by email or in-product, and any change will take effect only at your next renewal after the notice. If you do not agree to a new price, you may cancel before it takes effect.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting support@alphaprove.com. Cancellation stops future renewals; your paid features remain active until the end of the billing period already paid for, after which your account reverts to the Free tier.

Refunds and right of withdrawal

If you are a consumer in the European Union, you have a statutory right to withdraw from a purchase of digital services within 14 days. Because access is provided immediately, by starting to use paid features during that period you expressly request that we begin performance at once and acknowledge that your right of withdrawal is lost once the service has been fully performed; if performance has only partly occurred, you may owe an amount proportionate to what was supplied. Outside of your mandatory statutory rights, subscription fees are generally non-refundable and we do not provide refunds for partial billing periods. Nothing in this section limits the consumer-protection rights you have under the law of Romania or your country of residence.

6. Acceptable use

Your strategy code runs inside a locked-down, sandboxed environment on our servers. To keep the Service safe and available for everyone, you agree that you will not:

  • attempt to escape, disable, probe, or circumvent the execution sandbox or any other security, isolation, or rate-limiting control;
  • upload, run, or generate malicious code, malware, or anything designed to harm, disrupt, or gain unauthorised access to our systems or other users’ data;
  • use the Service to mine cryptocurrency, run unrelated compute workloads, or otherwise consume resources for a purpose the Service is not intended for;
  • use the Service for any unlawful purpose or in violation of any applicable law, regulation, or sanctions regime;
  • reverse engineer, decompile, or attempt to derive the source code of the platform, except to the extent this restriction is prohibited by applicable law;
  • scrape, crawl, or harvest data or content from the Service by automated means except through interfaces we expressly provide;
  • overload, flood, or otherwise interfere with the proper working of the Service, or attempt to gain unauthorised access to any account, system, or network; or
  • share, resell, or provide access to your account, or let others use the Service through your account.

We may investigate suspected violations and may suspend or terminate access to protect the Service and its users.

7. Your content and intellectual property

As between you and us, you own the strategies, code, prompts, and other content you create or upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, execute, and display Your Content solely as needed to operate and provide the Service to you, for example, to run your backtests and show you the results.

If you choose to publish a strategy to the marketplace (available on the top tier), you additionally grant us and the users you make it available to the rights necessary to display and run that strategy through the marketplace, on the terms presented at the time of publishing.

The Service itself (including the platform, engine, user interface, and all associated software, trademarks, and content we provide) is owned by SC FAOXIM SRL or its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any of our intellectual property to you.

8. AI-generated output

AlphaProve can generate strategy code and other output using artificial intelligence. This output is experimental and unaudited. It may contain errors, may not do what you intended, and may not be suitable for any particular purpose. You are solely responsible for reviewing, testing, and validating any AI-generated output before you rely on or act upon it. To generate this output, the content of your prompts and AI conversations is transmitted to a third-party AI provider, as described in our Privacy Policy.

9. Disclaimers and no warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

We do not warrant that any strategy, backtest, forward-walk, or simulation will be accurate, reliable, complete, or profitable, or that historical or simulated performance will predict future results. Simulated results have inherent limitations and may differ materially from real-world outcomes. Your use of the Service and reliance on any output is at your own risk.

10. Limitation of liability

To the fullest extent permitted by applicable law, SC FAOXIM SRL and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading or investment losses, or loss of data, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of the total fees you paid to us for the Service in the twelve (12) months before the event giving rise to the claim, or, if you are on a free plan, one hundred euros (€100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or your mandatory consumer rights.

11. Indemnification

You agree to indemnify and hold harmless SC FAOXIM SRL and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party. This section does not apply to the extent a claim arises from our own wrongdoing or where such indemnity is not permitted by law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Service or other users. We will make reasonable efforts to give you notice where appropriate.

On termination, your right to use the Service ends. Sections that by their nature should survive (including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply. On account closure we handle your personal data as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service before they take effect and update the “last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

14. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of Romania, without regard to its conflict-of-laws rules, and, where applicable, by the mandatory consumer-protection laws of your country of residence. The courts of Romania will have jurisdiction, except where mandatory law gives you the right to bring proceedings in your local courts.

15. Security and responsible disclosure

We take the security of AlphaProve seriously and welcome reports from security researchers. If you believe you have found a security vulnerability, please report it to us privately at support@alphaprove.com and give us a reasonable opportunity to investigate and remediate before any public disclosure.

When you act in good faith to identify and report a vulnerability (avoiding privacy violations, data destruction, and any degradation of the Service, and testing only against your own account), we will not pursue or support legal action against you for that research, and we will work with you on a coordinated disclosure timeline. This does not authorise accessing other users’ data or disrupting the Service, which remain prohibited under our Acceptable use policy.
